We count among our clients a number of large companies whose shares are publicly traded in Israel, reporting companies and additional entities that are active in the financial markets. We help these companies manoeuvre their way through the complex and tightly regulated Israeli securities laws that they must comply with. Equally, the firm has advised and guided a number of companies on their first forays into going public with their first Initial Public Offerings (IPOs) of their shares.
JST & Co.’s Capital Markets department regularly leads clients in connection with the following activities:
- Equity-linked transactions such as IPOs, follow-on public offerings, rights issues, private placements and exchange offers.
- Complex debt securities offerings.
- All stages of raising capital or debt from the public and from financial institutions.
- Applications for listing and admission to trading on the Tel Aviv Stock Exchange (TASE).
- Preparing and filing all the different regulatory reports and filings that our clients are required to make.
- Representing companies and office holders before the various relevant regulatory bodies.
- Undertaking due diligence review and risk assessment for underwriters and investors.
- Preparation and submission of tender offers and advising on takeover transactions.
- Mergers and acquisitions involving one or more publicly traded companies.
- Providing ongoing legal advice to public and reporting companies, including without limit, on shareholder voting agreements and advising on the setting of senior executive and director compensation polies.
- Provision of appropriate corporate secretarial services for publicly traded and reporting companies.
